General Terms

By accessing this website or entering into a service agreement with ULAP Networks, you agree to be bound by these Terms & Conditions. These terms apply to the entire website and any email or other type of communication between you and ULAP Networks.

Under no circumstances shall ULAP Networks team be liable for any direct, indirect, special, incidental or consequential damages, including, but not limited to, loss of data or profit, arising out of the use, or the inability to use, the materials on this site, even if ULAP Networks team or an authorized representative has been advised of the possibility of such damages. If your use of materials from this site results in the need for servicing, repair or correction of equipment or data, you assume any costs thereof. ULAP Networks will not be responsible for any outcome that may occur during the course of usage of our resources.

Any late or unpaid amounts may be subject to terms outlined in your service agreement.

ULAP Networks reserves the right to update its billing and invoicing practices with notice, where required by law or by the terms of the client agreement.

 

Confidentiality
Each party (“Recipient”) agrees to treat as confidential all non-public information disclosed by the other party (“Discloser”) that is marked or reasonably understood to be confidential (“Confidential Information”).

The Recipient shall not disclose or use the Discloser’s Confidential Information for any purpose other than performing under these Terms. The Recipient agrees to protect such information using the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care.

Confidential Information does not include information that:

  • Is or becomes publicly available through no fault of the Recipient;

  • Was lawfully known by the Recipient prior to disclosure;

  • Is independently developed by the Recipient without use of or reference to the Discloser’s Confidential Information;

  • Is required to be disclosed by law, provided that the Recipient gives advance notice (where legally permissible) and cooperates to limit the disclosure.

 

Intellectual Property

The website and its entire contents, features and functionality (including but not limited to all information, software, text, displays, images, video and audio, and the design, selection and arrangement thereof), are owned by ULAP Networks, its licensors or other providers of such material and are protected by international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws. Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of Brunei Darussalam, unless otherwise required by applicable local laws based on your jurisdiction.

Any dispute, controversy, or claim arising out of or relating to these Terms or your use of our services shall be resolved through good-faith negotiations. If such negotiations fail, the matter shall be submitted to the relevant judicial courts, unless another forum is required by law.

Nothing in this section prevents either party from seeking injunctive or equitable relief in any competent court to prevent the unauthorized use or misuse of its intellectual property or confidential information.

 

Term and Termination

These Terms remain in effect until terminated by either party. You may terminate these Terms at any time by ceasing all use of ULAP Networks’ services.

ULAP Networks may suspend or terminate your access to the services at its sole discretion, with or without notice, if:

  • You breach any provision of these Terms;

  • Required to do so by law or regulatory authority;

  • Service performance is compromised by your misuse or external circumstances beyond our control.

Upon termination, your right to use the services will immediately cease. Termination does not affect any obligations incurred prior to termination, including outstanding payments or legal responsibilities.

 

Severability

This Agreement, together with the Privacy Policy and any other legal notices published by ULAP Networks on the Services, shall constitute the entire agreement between you and ULAP Networks concerning the Services. If any provision of this Agreement is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of this Agreement, which shall remain in full force and effect. No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term, and ULAP Networks’ failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision.

You and ULAP Networks agree that any cause of action arising out of or related to the services must commence within one (1) year after the cause of action accrues. Otherwise, such cause of action is permanently barred.

 

Indemnification

You agree to indemnify, defend, and hold harmless ULAP Networks, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses including reasonable legal fees, arising out of or related to:

  • Your use or misuse of the services;
  • Your violation of these Terms or applicable law;
  • Any content or data submitted through your account that infringes the rights of a third party.

ULAP Networks reserves the right to assume exclusive defense and control of any matter subject to indemnification by you. In such cases, you agree to cooperate fully with our defense.
