Confidential Information does not include information that:

Was lawfully known by the Recipient prior to disclosure;
Is independently developed by the Recipient without use of or reference to the Discloser’s Confidential Information;
Is required to be disclosed by law, provided that the Recipient gives advance notice (where legally permissible) and cooperates to limit the disclosure.
Intellectual Property

You and ULAP Networks agree that any cause of action arising out of or related to the services must commence within one (1) year after the cause of action accrues. Otherwise, such cause of action is permanently barred.
Indemnification
You agree to indemnify, defend, and hold harmless ULAP Networks, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses including reasonable legal fees, arising out of or related to:
